**About this position**
- We are looking for a dynamic and innovative Paralegal who will help us change people lives in Latin America and the Caribbean working in the Financial Markets and Product Legal Division of the Legal Department in IDB Invest.
- Our Legal Department advises Management, the Board of Executive Directors and the Board of Governors on all legal matters relating to IDB Invest. As part of its functions, the Legal Department provides a full range of legal support to non-sovereign guaranteed operations throughout the entire transaction cycle, including origination, portfolio management, and workouts, and the development of new products. Also, we provide legal advice on all institutional and financial matters for IDB Invest, including governance, financial management, institutional integrity and administration of human resources.
**What you will do**:
- Your main functions and responsibilities shall include the following:
- Assists with drafting, and reviewing of legal documents related to the origination and portfolio management for projects of the IDB Invest, including technical assistance grant agreements, mandate letters, powers of attorney, internal resolutions, closing documentation, amendments, waivers and other related documents.
- Assists with the development and regular updating of model documentation and maintenance of the Legal Department intranet.
- Assists with the procurement of contracting external legal services, liaises with external counsel on transaction matters, drafting retainer agreements for contracting external counsel and tracking of external counsel invoices and data.
- Supports the financial closing of projects preparing documentation, including the execution, notarization and consularization of agreements, and the organization, review and tracking of conditions precedent to disbursement.
- Manages timely provision of official documents required for IDB Invest loans or investments.
- Coordinates the filing of physical and digital versions of legal documents and records in accordance with IDB Invest policies and procedures.
- Conducts research on a variety of matters, including IDBG policies and procedures, Legal Department opinions, and transaction precedents.
- Reviews or prepares translations of IDB Invest documents for external or internal use as applicable.
- Identify and recommend process improvement opportunities in the paralegal operational area to improve quality and timing of service delivery.
**What you will need**:
**Education**: You hold a bachelor's degree from an accredited university. You have knowledge and substantive legal experience in both Civil and Common law systems.
**Experience**: You have at least 3+ years of relevant professional legal experience preferably in transactional work.
**Language**: You are proficient (oral and written) in at least 2 official languages of IDB Invest (English, Spanish, Portuguese, and French), with knowledge of Spanish preferred.
- Other: You have excellent organizational skills, including record-keeping and project planning, with a strong results orientation, and high level of attention to detail. You have proficiency in using Microsoft Office suite products (e.g., Power Point, Excel and Word).
- In addition to the above, is preferrable, if you have proven professional experience in complex cross-border commercial transactions in one of the following areas:
- Financial Intermediaries
- Supply Chain Financing
- Trade Financing
- Energy and infrastructure project finance; and/or
- Corporate finance transactions.
